1. Acceptance of Terms

By registering for, accessing, or using the Conviaplatform (the “Service”), provided by Convia (“we”, “our”, or “us”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization or business, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Service

Convia provides a multi-tenant customer relationship management (CRM) platform, automated workflow engines, AI copilots, headless storefronts, and official integrations with Meta Platforms, Inc. services (including the WhatsApp Business Platform and Cloud API).

3. Meta Platforms & WhatsApp Policy Compliance

When utilizing WhatsApp Cloud API features through Convia, you expressly agree to adhere to all applicable Meta policies, including without limitation:

  • WhatsApp Business Terms of Service: Complying with Meta's commercial terms and developer policies.
  • WhatsApp Business Messaging Policy: Obtaining explicit opt-in consent from your customers prior to sending proactive WhatsApp message templates.
  • Prohibited Content: You will not use the Service to distribute spam, illegal products, harassment, or unauthorized promotional material.

4. Account Responsibilities & Security

You are responsible for maintaining the confidentiality of your account credentials, API keys, and Meta access tokens. You agree to immediately notify Convia of any unauthorized use or security breach related to your account.

5. Fees and WhatsApp Messaging Charges

Convia subscription fees cover access to software, team seats, workflow builders, and AI features. You acknowledge that message conversation charges incurred via the WhatsApp Cloud API are billed directly by Meta Platforms, Inc. in accordance with Meta's Conversation-Based Pricing guidelines.

6. Data Ownership & Privacy

You retain all right, title, and interest in and to your customer data, messages, and business assets. Convia processes your data strictly in accordance with our Privacy Policy. We implement multi-tenant Row Level Security (RLS) and cryptographic webhook signature verification to safeguard your information.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Convia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill resulting from the use or inability to use the Service or downtime from third-party APIs (including Meta Platforms, Inc.).
